These Terms of Service ("Terms") govern your access to and use of the website, software, and services provided by SZSarasota LLC ("SZSarasota," "we," "us," or "our"). By accessing our Website or engaging our services, you agree to these Terms.

1. Description of Services

SZSarasota provides custom software engineering services, including enrollment and waitlist management, ratio and compliance tracking, billing and tuition, parent portal and communication, staff scheduling and credentials, and curriculum and progress tracking, specifically tailored for childcare and early-education operators. The exact scope of any engagement is defined in a separate Master Services Agreement (MSA) or Statement of Work (SOW).

2. Acceptance of Terms

By accessing or using our Website or services, you agree to be bound by these Terms and our Privacy Policy.

3. Intellectual Property

Upon full payment of all undisputed fees for a project, SZSarasota assigns to the client all rights, title, and interest in the custom code and platform developed specifically for that client. SZSarasota retains ownership of pre-existing code libraries and reusable middleware used across multiple client projects, and grants the client a perpetual, royalty-free license to use those components within their delivered platform.

4. Client Responsibilities

Clients are responsible for providing timely access to enrollment, staffing, and billing data required to complete the engagement, and for maintaining their own compliance obligations under applicable state licensing law. Delays caused by the client may result in adjusted timelines or additional fees.

5. Fees and Payment

Fees for services are set out in the applicable SOW and billed according to the milestone structure described in that agreement. Late payments may result in a pause of active work until the account is current.

6. Limitation of Liability

To the fullest extent permitted by law, SZSarasota shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use our services. Our software supports ratio-tracking and compliance workflows but does not substitute for a director's independent professional judgment or state licensing obligations.

7. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law provisions.
